Eurofins intends to issue new hybrid notes to replace its 300M€ outstanding hybrid notes with a first call date on 31 January 2020 and to launch a tender offer on those 2020 hybrid notes

Eurofins Scientific (ERF FP, unrated), a global leader in bioanalytical testing, announces today:

  • its intention to issue new Euro-denominated undated deeply subordinated fixed to variable rate notes with a first call date at the option of the Company in August 2022 for an expected amount of up to EUR 300,000,000 (the “New Notes”)

and

  • the launch of a tender offer (the “Tender Offer”) to repurchase its outstanding EUR 300,000,000 undated deeply subordinated fixed to variable rate notes with a first call date at the option of the Company on 31 January 2020 (ISIN: XS0881803646)

The Tender Offer is subject to the success of the issuance of the New Notes. Results of the Tender Offer are expected to be announced on 11 September 2019 (subject to changes as a result of any extension, withdrawal, termination or amendment of the Tender Offer).

The purpose of the Tender Offer and the planned issuance of New Notes is, amongst other things, to proactively manage the refinancing of the Company’s outstanding hybrid notes which are callable in January 2020, while taking advantage of favorable market conditions.
